Rewards Agreement

1. Introduction and Definitions

This Rewards Program Agreement (“Agreement”) governs your participation in the Made Card Rewards Program (“Program”) offered by mCard Technologies, Inc. (“Made Card,” “we,” “us,” or “our”) in connection with your Made Card credit card account (“Card”). By participating in the Program, you agree this Agreement is subject to the Cardholder Agreement,Terms of Use, andPrivacy Policy, and you agree to comply with all applicable laws and regulations (collectively, the “Requirements”). If you do not agree, you may opt out to of participating in the Program (see Section 9(a)).

Definitions:

  • “Account” means your Made Card credit card account issued by Lead Bank, pursuant to the Cardholder Agreement.
  • “Cardholder,” “you,” and “your” mean the individual to whom a Made Card account is issued.
  • “Good Standing” means your Card account is open, in full compliance with the Requirements, not delinquent, and not otherwise restricted.
  • "Inactive Account" means a Card Account with no purchase, redemption, or other qualifying activity for 18 consecutive months.
  • “Mortgage Matching” means the feature described in Section 3(c).
  • “Point Matching” or Matched Point” means additional Points earned through the Mortgage Matching or as offered for certain spend categories, subject to verification and offered at our sole discretion.
  • “Points” means the units earned under the Program, which are redeemable for rewards as described herein.
  • “Purchases” means purchases of goods and services made with your Card for personal, family, or household purposes, minus any exclusions, returns, and any other credits. Purchases are calculated in whole $1 increments on a per-transaction basis.
  • “Total Points” means the sum of Points earned for a Purchase, including all Matched Points, subject to any exclusions.

2. Program Eligibility

The Program is only available to customers with an Account that is open, active, and in Good Standing. Participation in the Program is limited to personal, family, or household purpose-related spending by natural persons only; business entities and business expenses are not eligible. You must enroll and provide the information we require to participate, including providing adequate proof of your mortgage payment for Mortgage Matching. The Program is void where prohibited by law.

3. Earning Points

a. Points

You will earn Points on eligible Purchases at the end of your billing period and upon issuance of your monthly statement. You will earn 1 Point for every whole $1 spent for each Purchase made with your Card, plus you may be eligible for additional Point Matching as described below.

You are not entitled to Points on refunded, unauthorized, fraudulent, or disputed transactions, or any other credits to your Account, which shall be determined by Made Card in its sole discretion. Points are also not earned on Purchases or other transactions relating to cash advances, balance transfers, betting, gaming, gambling, casinos, quasi-cash transactions (i.e., money orders, traveler’s checks, gift cards), fees, interest, or other excluded transactions as determined by us. Made Card reserves the absolute right to determine eligibility of all transactions for Point accrual, including but not limited to reviewing merchant category codes, transaction patterns, and account activity.

b. Point Matching

Purchases may be eligible for Point Matching based on the Purchase type and the merchant category code (or MCC). Subject to the Point Matching limits, you will be eligible to earn the Total Points below, including the Points and Matched Points. If you exceed the Point Matching limits during the billing cycle, all subsequent Purchases in that category will earn Points at the Everyday Purchase rate.

Made Card does not control how merchants are classified and is not responsible for MCC assigned by the payment networks. We reserve the absolute right to determine which Purchases qualify for Point Matching and may decline to award Points for any Purchase in our sole discretion, including transactions that appear inconsistent with normal spending patterns.

c. Mortgage Matching

If you link your eligible mortgage account or provide acceptable proof of your mortgage payment or statement, you may be eligible for Mortgage Matching. Once we approve your Account for Mortgage Matching, you are eligible to earn 1 Matched Point for every $1 spent on your Card during the billing cycle in addition to the Matched Points based on MCC listed above in Section 2(b). Mortgage Matching is limited to the 1 Point per whole $1 of your monthly mortgage payment.

For example, if your mortgage payment is $2,000 and:

  • You make $1,500 in Purchases during the billing cycle, you will earn 1,500 Points for your Purchases plus 1,500 Points from Mortgage Matching.
  • You make $2,500 in Purchases during the billing cycle you will earn 2,500 Points for your Purchases plus 2,000 Points from Mortgage Matching.

Mortgage Matching is calculated separate and in addition to any other Point Matching that may be available. To be eligible for Mortgage Matching, the mortgage account you provide must be related to your primary residence and you must be an owner of record on the property. If at any time we find that your mortgage was not eligible or if any information provided was inaccurate, incomplete, or otherwise cannot be verified, we reserve the right to revoke any Points that have been granted in connection with the Program. Mortgage accounts may only be linked to one Account at a time. Mortgage Matching Points are awarded at our sole discretion, will not exceed your monthly mortgage payment amount, and are subject to monthly verification. We may suspend or terminate this feature at any time.

d. Promotions

From time to time, Made Card may offer temporary promotions, including card-linked offers, promotional offers, and other offers made in connection with third-party businesses, all at Made Card’s sole discretion (“Promotions”). Promotions may have additional terms, conditions, spending requirements, availability limitations, or time limitations. By participating in the Program, you consent to automatic enrollment in all available Promotions unless you opt out through the methods we designate. We reserve the right to modify, suspend, or terminate any Promotion at any time without notice.

  • Card-Linked Offers: Made Card may partner with merchants to provide automatic credits or bonus Point opportunities when you make qualifying purchases at participating merchants. These offers are automatically applied to your account when you meet the specified criteria - no separate enrollment or activation is required.
  • Promotional Offers: From time to time, Made Card may offer other promotional opportunities to earn bonus Points or account credits on qualifying transactions made with your Card.

To provide Promotions and administer the Program, Made Card may share your transaction data, account information, and personal information with participating merchants, affiliate partners, service providers, and other third parties as necessary to facilitate the Program and Promotions. This may include, without limitation:

  • Transaction details (merchant, date, amount)
  • Personal information (name, email address, phone number)
  • Account status and eligibility information
  • Other information necessary to validate purchases and process rewards

By participating in the Program, you expressly consent to Made Card sharing this information with merchants, partners, service providers, and other third parties as necessary to facilitate the Program.

e. Affiliate Relationships

Made Card may receive compensation, commissions, referral fees, or other financial benefits from merchants, partners, and third-party service providers in connection with your participation in card-linked offers and other Promotions. We may also receive compensation based on your account activity, spending patterns, or data insights. This compensation may be based on:

  • Your qualifying purchases at participating merchants
  • Successful referrals or customer acquisitions
  • Affiliate marketing arrangements
  • Other partnership agreements

Such compensation does not affect your Point earning or redemption rates, but enables Made Card to offer enhanced rewards and maintain the Program.

f. Account Status

You must maintain your account in Good Standing to earn and redeem Points. If your account becomes past due, suspended, closed, or otherwise not in Good Standing, you will immediately cease earning Points and your existing Point balance will be frozen until your account returns to Good Standing. If your account is 1 or more days past due, your entire earned Points balance will be frozen, and you will be unable to redeem Points until your account is brought current and returned to Good Standing. If your Account becomes seriously delinquent or you default on any of the Requirements, we will revoke your Points balance and you will not be eligible to redeem any Points.

4. Redeeming Points

Points accumulated under the Program may be redeemed for rewards as may be available from time to time and as determined by Made Card in its sole discretion. Redemption options may include offerings directly from us or as made available via third-party services, in which case you agree to any such third party’s terms and conditions as may be applicable. Redemption categories, values, and availability may be modified or discontinued at our discretion and at any time without notice. The standard redemption value may vary and is subject to change. We reserve the right to impose minimum redemption thresholds, processing fees, or other limitations.

To redeem Points, your account must be in Good Standing and you must meet any other reasonable requirements that we may apply. Points have no cash value, are not transferable, and may not be sold or assigned. Once redeemed, Points cannot be refunded, reversed, or restored. The value of Points and available redemption options may change at any time without notice. We may restrict or suspend redemption privileges at our sole discretion.

5. Points Expiration and Forfeiture

Your Points do not expire as long as your Account remains open, active, and in Good Standing. Points will be immediately forfeited if you file for bankruptcy, engage in fraud, misuse, or abuse of the Program, fail to provide required information, or if your Account is closed for any reason, becomes inactive, or if we determine in our sole discretion that your Account is not or ever was not in Good Standing.

Special Notice for New York Residents: If the Program is modified, terminated, or your account is closed by Made Card, you will receive at least 45 days’ advance notice and have 90 days from the date of notice to redeem Points under the original terms, except in cases of fraud or misuse.

6. Program Modifications and Termination

In accordance with applicable law, Made Card reserves the right to modify, suspend, or terminate the Program, or any part of it, at any time, for any reason, with or without notice. If we make a material adverse change to the Program that reduces the value of Points, limits earning or redemption, or otherwise materially diminishes the Program, Made Card will provide advance notice where required by law. Your continued participation in the Program after notice constitutes acceptance of the changes. If the Program is terminated, any unredeemed Points may be forfeited, except as required by applicable law. Notwithstanding the foregoing, we may immediately suspend or terminate the Program without notice in cases of suspected fraud, abuse, or legal or regulatory requirements

  1. Negative Points Balance

If a Purchase is returned, unauthorized, disputed, results in a chargeback, or any other transaction occurs that reverses the underlying transaction that led to Points being awarded, we reserve the right to reverse the award of such Points from your Points balance. If your Points balance becomes negative as a result of such a reversal, any Points you subsequently earn will be applied first to reduce that negative balance. You will not be able to redeem Points until your balance is positive. We reserve the right to bill your Account for any negative Point balance at the cash equivalent value of the negative Points, and such charges will be treated as purchases under your Cardholder Agreement.

7. Limitations of Liability and Disclaimer of Warranties

BY PARTICIPATING IN THE PROGRAM, YOU AGREE TO RELEASE, INDEMNIFY, AND HOLD HARMLESS MADE CARD AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS (THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, LAWSUITS, JUDGMENTS, AND CAUSES OF ACTION ARISING FROM OR IN CONNECTION WITH THE PROGRAM.

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY ERRORS, TECHNICAL MALFUNCTIONS, OR UNAVAILABILITY OF THE PROGRAM. YOUR PARTICIPATION IS AT YOUR SOLE RISK.

IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF THE PROGRAM. YOUR SOLE REMEDY SHALL BE THE CREDITING OF POINTS TO YOUR ACCOUNT IN AN AMOUNT NO GREATER THAN THE NUMBER OF POINTS AT ISSUE.

8. Misuse of the Program

Fraud, abuse, or misuse of the Program, including but not limited to providing false information, using unauthorized cards, manufactured spending, gaming the system, exploiting technical errors, creating multiple accounts, or any other conduct we deem inappropriate, is strictly prohibited and may result in immediate suspension or termination of your participation, forfeiture of all Points, account closure, and any other remedies that may be available to us. Made Card reserves the right to monitor accounts and investigate suspicious activity using any means available. Points may be revoked if awarded in error, based on ineligible activity, or if we determine that you have violated any Requirements. We may also recover the cash value of any improperly redeemed rewards.

9. Additional Terms

a. Opt Out

If you wish to opt-out, please send us an email with your request to opt out of the Rewards Program to privacy@madecard.com. Please note that if you opt out of any aspect of the Program, you will not be eligible to earn Points or any other rewards or benefits offered hereunder.

b. Tax Implications

You are solely responsible for any federal, state, or local taxes that may apply to Points earned, redeemed, or forfeited. The value of rewards may be reported to tax authorities as required by law, and you agree to provide any tax identification numbers or other information we request. We may issue tax forms as required and you are responsible for maintaining records of your rewards activity.

c. Privacy and Information Sharing

Participation in the Program is subject to Made Card’s Privacy Policy, as updated from time to time. By participating, you consent to Made Card collecting, using, sharing, and storing account information, transaction data, personal information, and any other data related to your participation as necessary to administer the Program, conduct business operations, comply with legal requirements, prevent fraud, and for any other lawful business purpose. This includes sharing information with partners, merchants, service providers, affiliates, regulators, and other third parties as described in Section 3(d) and as otherwise permitted by law.

d. Governing Law

This Agreement is governed by the laws of the State of Delaware and applicable federal law, except as otherwise required by law (e.g., NY GBL §520-e for NY residents).

e. Severability

If any part of this Agreement is found invalid or unenforceable, the remainder will remain in effect. The invalid or unenforceable provision shall be deemed modified to be valid and enforceable to the maximum extent permitted by law.

By participating in the Made Card Rewards Program, you acknowledge that you have read, understood, and agree to these terms and conditions.
